SDMS Terms and Conditions

YOU MUST READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE INSTALLING THE SDMS PROGRAM. BY REGISTERING TO USE SDMS, YOU SHALL BE DEEMED TO HAVE ACCEPTED AND BOUND BY ALL THESE TERMS AND CONDITIONS

1. DEFINITIONS AND INTERPRETATION

In this agreement unless the context otherwise requires, the following words and expressions shall have the following meanings.

SDMS

SDMS (School Data Management System) is a powerful and yet simple to use computer program. It is a fully customizable desktop application that gives you complete control and coordination over your school's operations. It runs efficiently on both standalone and network machines.

SDMS Versions

SDMS comes in 3 Versions namely SDMS Light, SDMS Plus and SDMS Pro. All the 3 Versions and all the versions have the same User Interface.

SDMS Light

SDMS Light in particular concentrates on Class work. The teacher's only job is to enter the correct marks and then SDMS take over. SDMS will generate report cards with totals, aggregates, grades, pupil's position in class, pupil's ranking in each subject, predefined comments and entry grades that help in determining the pupil's academic progress. SDMS 3rd Term report card includes term 1 and term 2 results to evaluate how the pupil has been performing throughout the year. SDMS analyses performance for the whole class and then produces the best 10 performing pupils, best performed pupils, and a breakdown of number of pupils that passed in various divisions and grades. There is additional Performance analysis for boys vs girls in mixed schools and also day scholars vs boarders. SDMS Compiles comparative charts for the PLE performances of the school over the years and this helps to ascertain the general school's performance trend.

SDMS Plus

SDMS Plus is an extension of SDMS Light. On Addition to what SDMS Light does, SDMS Plus handles all fees payments by the pupils. It handles school fees and any other pupil's payments including Lunch, Transport and Examination fees. It prepares payment receipts and pupils ledgers. It generates school income statement on a termly basis. SDMS gives you access to a variety of payment mechanisms including Bank, Cheque, Mobile Money and Cash at School. The SDMS Plus dashboard instantly tells you how much fees is expected for that particular term, how much fees has been paid so far and how much is owed in total. Bursary awards and fees arrears are also taken into consideration.

SDMS Pro

SDMS Pro Literally manages every aspect of the school. It combines all the features of SDMS Light and SDMS Plus. SDMS Pro has additional capabilities like

  • Management of employees and employee salaries
  • Pupils health monitoring
  • More detailed Accounting
  • Other School business transactions
  • School store operations

Payments of employees is made easily with automatic compilation of all the monthly earnings and deductions, for example NSSF, PAYE and LST are respectively deducted just as HRA and bonuses are added to earnings Using the SDMS Inventory Calculator lets know how much food you need to store for a given number of pupils per term. It calculates how much has been consumed giving you how much is left and also estimates how long the Balance can run for. If the school is in the business of selling other items like Eggs, Milk etc. SDMS just has a slot to run that for you as well. It's so important to know how healthy the pupil has been throughout the term and also to know the medical history along with allergies and SDMS keeps all this information readily available for you. SDMS Pro generates General Ledger, Income statement and Balance sheet at the end of every academic term.

2. SDMS ACCESSIBLE COMMANDS

That Rhombus Media has the right to determine and vary from time to time the scope, scalability and type of commands to be made available including, without limitation:-

  1. Expanding, modifying or reducing the Accessible Command Lists at any time.
  2. Imposing and varying any restrictions to access of any commands in any of the given SDMS Versions.
  3. Modifying and upgrading the User interface of the SDMS Program features.

3. GOVERNING TERMS AND CONDITIONS

SDMS provides and additional means for the Client to operate an online School Account, conduct transactions and dealings with Rhombus Media as shall be made available from time to time. Transactions and dealings affected by using SDMS are subject to these Terms and Conditions and other related terms issued by Rhombus Media including the Privacy and Security, Terms of use currently published on the SDMS website or Rhombus Media website where the services are provided. All other terms and conditions governing the relevant SDMS Version shall continue to apply but where there is any discrepancy, these Terms and Conditions shall prevail.

4. SDMS ACQUISITION AND USAGE

  1. To access the SDMS program for the first time, the client is required to register online by creating an account in the SDMS website in order to get the SDMS School ID. The provided information upon registration is used to get in touch with the client from time to time.
  2. By registering to use SDMS program, the client warrants that all information provided by the client to Rhombus Media is true, complete and up-to-date.
  3. The Customer shall not neglect or knowing give access to unauthorized persons access to both their SDMS account and the installed SDMS program. The client shall notify SDMS management as soon as practicable if he becomes aware of such use.
  4. The client shall notify SDMS management immediately if the installed SDMS version is malfunctioning or if any of the supporting programs do not work properly.
  5. The client has the duty of periodically saving the SDMS backup on an entirely separate storage device for SDMS Management shall not be held accountable for lost Data.

5. FEES

Rhombus Media reserves the right to charge fees in relation to the use and or termination of SDMS and to revise such fees. Rhombus Media shall determine and give reasonable notice to the client of the rate of any fee from time to time before they become effective which shall be binding on the client if the continues to use SDMS on or after the effective date. Fees may be collected from the client in such a manner and at such intervals as Rhombus Media may specify.

6. CLIENT'S UNDERTAKINGS AND RESPOSIBILITIES

  1. The client shall provide such information as Rhombus Media may from time to time reasonably request for the purposes of providing SDMS. The client shall also ensure that all information provided to Rhombus Media is at all times accurate, complete and up-to-date including, including without limitation, the client's address and contact details.
  2. The client understands that Rhombus Media needs to and so authorizes Rhombus Media to process, share or transmit information about the client, the client's account and/or the transactions executed by Rhombus Media on the Clients behalf or agent or third party used by Rhombus Media in connection with SDMS. Rhombus Media strict of such information unless (a) otherwise required or permitted by any applicable law, regulation or request of any public or regulatory authority, or (b) disclosure is required for the purpose of preventing fraud; or (c) Rhombus Media deems disclosure to provide SDMS services.
  3. The client shall not, and shall not attempt to decompile, reverse-engineer, translate, convert, adapt, alter, modify, enhance, add to, delete or in any way tamper with SDMS System files other than interacting with Front end SDMS features and copying the SDMS backup file to another storage device.

7. LIABILITIES OF RHOMBUS MEDIA

  1. Rhombus Media's liability will be limited to the extent of information provided by the client and captured in the SDMS Platform. Rhombus Media will take reasonably practicable steps to ensure that SDMS is installed with adequate security designs and to control and manage the risks in Windows operating system, taking into account any law rules, regulations, guidelines, circulars, codes of conduct and prevailing market practices which may be applicable to Rhombus Media from time to time.
  2. Rhombus Media will make all reasonable efforts to ensure that the services provided to the client will perform as necessary to permit access to SDMS as and when required. The Client must notify Rhombus Media immediately if their system fails to function correctly. Rhombus Media cannot be held liable for any loss or damage incurred or suffered by the client arising from the client's failure to safe-keep, provision of wrong account details and/or use the program in accordance with given instructions and recommendations.

8. LIABILITIES OF THE CUSTOMER

  1. The Client shall be fully liable and responsible for all consequences arising from or in connection with use of SDMS as a result of such use by the client or provision of inaccurate information by the client to Rhombus Media.
  2. The client shall indemnify Rhombus Media, against all liabilities, claims, demands, losses, damages, costs, charges and expenses of any kind which may be incurred by any of them and all actions or proceedings which may be brought by or against any of them in connection with SDMS

9. DURATION OF AGREEMENT

Subject to the provision of earlier termination as provided in this agreement, this agreement shall be for an annual period of 12 months from its effective date. Upon expiry of the initial term, this agreement shall automatically be renewed by the parties for further renewal periods of 12 months each term on the terms and conditions herein or as may be amended in writing unless terminated in accordance with the terms of the agreement

10. VARIATION AND TERMINATION

  1. Rhombus Media may, at any time, without giving notice or reason suspend or terminate a school account or a client's use of SDMS.
  2. The client may terminate the use of SDMS at any time by giving to Rhombus Media prior written notice.
  3. All provision of these Terms and Conditions which in order to give effect to their meaning need to survive the suspension or termination of the services and/or the use of SDMS by the client shall remain in full force and effect after suspension or termination
